Violation of the Bylaws in Approving Director Expenses |

In November 2008, Directors Vazquez and Kalenka were paid Director meeting fees for attendance at a seminar which was not previously approved by the Board. This in a direct violation of the By-Laws and Board Policies 105 and 108 which state meeting fees are only to be paid for meetings approved in advance. In addition, Director Kalenka attended a conference in San Antonio, Texas which was not approved in advance by the Board and was paid meeting fees as well as reimbursed for travel expenses. He also claimed attendance at the November Finance Committee meeting while attending the conference and thus was paid for two meetings in one day, another Board policy violation.
